Accuracy of corporate structure and UBO information for UK company reports

Why corporate structure and UBO data may be inaccurate for UK company reports where a Second Filing exists, and how to verify it.

Overview

In some cases where a UK company has submitted a Second Filing of a Confirmation Statement, certain ownership and control data, such as group structures and the identification of Ultimate Beneficial Owners (UBOs), may not be fully accurate in the structured data displayed in Legl.

The vast majority of reports are unaffected. A small minority may require additional verification to ensure complete accuracy.


Why this happens

Companies submit Second Filings of Confirmation Statements to correct or update previously submitted information. However, updates made via Second Filings are not yet automatically incorporated into the structured company data provided to Legl.

As a result:

  • Changes to shareholdings or control may not be reflected.

  • Updated Persons of Significant Control (PSCs) may not appear immediately.

  • Corporate structures and UBO information could be based on outdated filings.


How this affects you

  • This issue only affects a small minority of companies, specifically where a Second Filing exists.

  • If a Second Filing has been identified for the company you are reviewing, you will see a warning message in the Company Report.

  • Even when a Second Filing exists, the structured data shown in Legl may still be correct.

  • If the warning is displayed, we recommend you double-check the filings.


How to verify the company structure and UBO information

You can verify the information without leaving Legl:

  1. Open the Company Report you are reviewing.

  2. Click the Company Filings tab.

  3. Look for the latest Confirmation Statements, especially any document titled "Second Filing of Confirmation Statement".

  4. Review the filing contents carefully to verify the current shareholders, PSCs, and overall ownership structure.

ℹ️ Important

Confirmation Statement documents, including any Second Filings, are the authoritative source of a company's legal ownership and control at the time of filing.


Future improvements

We are working with our data supplier to ensure that Second Filing data from Companies House is automatically and accurately ingested into Legl.

Once this enhancement is complete:

  • Ownership and control information will fully reflect the latest filings without requiring manual checks.

  • We will remove the in-platform warning and update this article accordingly.

  • A warning message appears in the Company Report when a Second Filing has been identified.

  • Even where a Second Filing exists, the structured data shown in Legl may still be correct.

  • The Confirmation Statement in the Company Filings tab is the authoritative source of ownership and control.
