I have searched for a company to run a report on and a dark grey circle is displayed under the company name - what does this mean?
The grey dark circle with a dash is displayed when the search has been unable to find and return a company status (e.g. Active, Inactive, Dissolved etc).
The company I have searched for does not display any address information or 'last report change' - why is this?
The lack of information shown on the company's search results occurs when the search has been unable to locate this information from Legl's sources. This does not necessarily mean that there will be no information when running the report, however it can indicate there may be limited information for this company available.
There is limited information for a company I need to verify, how can I manually gather company information via Legl?
In instances where there is limited public information or you require more information than what is returned in a company report, you can create and send a workflow to your client requesting them to provide you with the additional details you require. For example, you may wish to include a Document Request step asking that they upload a certificate of incorporation, and/or you may want to include a Customisable Form step requesting them to answer a questionnaire you have created.
Why is the report I completed for a company on your list of supported jurisdictions empty?
The level of data availability differs between jurisdictions, as well as companies within those jurisdictions.
If you are working with a company that has limited information available with corporate data registries, then we recommend leveraging our Engage workflows to request additional documents from your client. All of this information will then be stored against the business entity in Legl.
Why have I not received any results for a company registered in one of the jurisdictions you support?
First, be sure to try searching both with the company name and registration number, if you have this information.
If there are still no results, check to see if the company has recently changed their name or has any aliases. You can confirm this with your contact at the business, or by a quick search online.
Lastly, check you have selected the correct country the company is registered in, as we will only return results for the specific country selected.
What does each tab on the company report mean?
Details
An overview of the company including:

Company history
List of all historical filings made by the company. These can be filtered by filing type and date. For UK companies, a copy of the original filing document can also be downloaded.
What is an ultimate parent company?
It is the ultimate controlling company within the group, i.e. the highest responsible entity within the corporate hierarchy. It will always have branches and/or subsidiary companies.
What is an immediate parent company?
An immediate parent company is the entity that directly holds a controlling interest or majority share in another company without any other company in between. It is the direct parent in the hierarchical chain of ownership and has primary oversight or control over the company immediately below it (the subsidiary)
What is an intermediate parent company?
An intermediate parent company is an entity that sits between the immediate parent company and higher-level parent entities, such as the ultimate parent in a company structure. It acts as a middle layer within the corporate hierarchy, owning or controlling subsidiaries and being owned or controlled by a higher entity itself.
What is an Independent company?
An Independent company has no reported parent or subsidiary companies associated with them. Their shareholdings will be primarily comprised of individual shareholders instead of businesses.
Can we download a list of all the Business checks that have been run?
Yes you can go to Insights > Engage Billing in your dashboard this will show you all the actions you have completed across matters in Legl, including company and sanctions screening reports.
The other option is to navigate to Insights > MLRO Oversight and click on ‘Businesses’. This will allow you to export all completed company reports to download.
Where is the ‘company status’ field updated from, and why would this be inconsistent with what is showing in Companies House?
Company status is derived from the latest filing updates of the company.
One reason that this can differ from Companies House is that we show the ‘status description’, where as companies house just have the high level status.
E.g. Companies house may show ‘Active’, where we will show ‘Active - Newly incorporated’.
“What does it mean when a company status is : Analysed - Query raised”
Analysed query raised can mean different concerns, depending on the particular company, however this generally means the accounts have been analysed but there is question over the analysis. These companies will often be changed to a live status quickly. If they are not it is because a query has been raised with CRO/Companies House.
“What does it mean when a company status is : Analysed – Non balancing”
If your company credit report says “Analysed – Non balancing” in the “Credit Rating” section it means that the company’s balance sheet does not balance, therefore we are unable to provide a rating/limit.
“You are showing a company as ‘dormant’, but they are ‘active’ on companies house
This is determined by accounts filed with Companies House. If a company files dormant accounts then we will show their company status as ‘dormant’. This will be updated when they next update their filing documents to indicate they are once again trading.
Why can I find a company on Companies House but not in Legl?
There are a few reasons why you might not be able to find a company in Legl that is registered on Companies House:
The company was recently registered
The companies name has been entered incorrect
You have found the wrong company
Companies that are newly registered will appear 2-3 days after creation.
If a companies name has been misspelt, you will not be able to find the company within Legl.
Many companies have similar names which might lead you to wrong results. It would be worth double checking the name of the company when searching within Legl.
Example: Legl Inc, Legl LTD, Legl Limited, The Legl Inc.
What's the credit rating commentary, and how does it influence the credit rating/ risk of the company?
This is a written overview of the credit report, intended to highlight any positive or negative items about the company, which could affect its creditworthiness.
When reviewing the credit rating commentary and comparing your Legl data with other external sources, ensure to pay close attention to reported dates.
Why does the shareholder information look incorrect? The shareholders in the Legl company report are no longer shareholders.
Shareholder information is gathered via the companies Confirmation Statement (CS01). Companies House moved from an AR01 to a CS01 back in June 2016. Within these the company only has to provide updates/confirmation of the information already held. Each year a company is required to file a CS01 confirming/updating shareholders details, share capital and SIC Codes. If no information is provided within this document, the company is confirming the information filed at Companies House is correct.
Why are you showing a PSC who owns 75-100% of shares, but this person does not appear in the shareholders section, instead there is another person listed owning 100% of shares?
PSCs and Shareholders are different registers that require different filings to be completed by a company. It is the responsibility of the company to ensure that these are kept up to date/filed in the correct way, however this means that it is possible to have a discrepancy between the two data sources.
Shareholders details are updated based on the latest Confirmation Statement (CS01), which companies are required to file at least annually. If no information is provided within this document, the company is confirming the information filed at Companies House is correct.
This can be verified by checking the latest CS01 in the ‘Company filings’ section of the Legl report. If there is no shareholder information in there, but the shareholders appearing in the report are no longer shareholders of the company, then we recommend going back to your client and requesting they file and updated CS01.
Companies must also identify all PSCs and enter their details on the PSC register. In order for an entity to be assigned/updated as a PSC, the company would need to file a PSC document at Companies House.
Typically speaking, when there is a discrepancy between the PSC and Shareholders information, it is most common for the PSC details to be the most up to date. However, this is solely dependent on the documents filed by the company, so any discrepancy should always be verified with your client.
Does the company filing report have an extra associated cost?
No, there is no additional charge for the company filing report document download. It is included as part of the company report.
Why is there no download button in my company history section?
For International company reports:
Filing documents are not available for international companies. In it’s place you will be shown the key milestones/events in the companies history, if it is available.
For UK companies:
If there is ‘company history’ information but no download button, it means there may have been an error in retrieving the documents. You can try and re-run the report or contact support.
If there is no event history shown, it means there is none available for that company
How do I find what size the company is within the Legl company report?
Once you are on the company report, you will find the company size in the commentary section beneath the credit rating:
A UK Micro entity must meet at least two of the following conditions:
Turnover must be no more than £632,000
The balance sheet total must be no more than £316,000
The average number of employees must be no more than 10
A UK Small company must meet at least two of the following conditions:
Annual turnover must be no more than £10.2 million
The balance sheet total must be no more than £5.1 million
The average number of employees must be no more than 50
A UK Medium company must meet at least two of the following conditions:
Annual turnover must be no more than £36 million
The balance sheet total must be no more than £18 million
The average number of employees must be no more than 250
A UK Large company must meet at least two of the following conditions:
Annual turnover more than £36 million
A balance sheet total more than £18 million
